IMPORTANT – READ CAREFULLY: This Beta License Agreement (“Agreement”) is a legal agreement between you (“You” or “User”) and ZenAxiom, Inc. (“ZenAxiom”) governing the use of the ZenAxiom Web Protection software in its pre-release form (the “Software”).

By installing, copying, or otherwise using the Software, You agree to be bound by the terms of this Agreement. If You do not agree to the terms, do not install or use the Software.

1. License Grant

ZenAxiom hereby grants You a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for internal evaluation and testing purposes during the beta period.

2. Beta Software Disclaimer

You acknowledge that the Software is pre-release, experimental in nature, and may contain bugs, errors, or other issues. The Software is provided “AS IS” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

3. Data Collection and Privacy

3.1. Traffic Logging: The Software may collect network traffic logs, usage data, and diagnostic information (collectively, “Usage Data”) to support threat detection, quality improvement, and product development.

3.2. User Control: You retain control over the extent of data collection. Data logging can be configured or disabled via the Software’s settings interface.

3.3. Data Handling: All collected Usage Data is processed in accordance with ZenAxiom’s internal security standards and applicable data protection laws. Data will not be sold or disclosed to third parties without your explicit consent, except as required by law.

4. Confidentiality

You agree that the Software and any related documentation, benchmarks, or feedback constitute confidential information. You shall not disclose such information to any third party without ZenAxiom’s prior written consent.

5. Feedback

Any feedback, suggestions, or improvements You provide to ZenAxiom relating to the Software may be used by ZenAxiom without restriction or obligation, and You hereby grant ZenAxiom a perpetual, irrevocable, worldwide, royalty-free license to use such feedback.

6. Termination

This Agreement is effective until terminated. ZenAxiom may terminate this Agreement at any time with or without notice. Upon termination, You must cease all use of the Software and destroy all copies in Your possession.

7. Limitation of Liability

In no event shall ZenAxiom or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to data loss, loss of profits, or business interruption, arising out of or related to this Agreement or the use or inability to use the Software, even if advised of the possibility of such damages.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in [Insert County and State], and You consent to the jurisdiction of such courts.

9. Performance Impact

You acknowledge and agree that the Software may intercept, inspect, or filter web traffic and system activity in real time, which may result in temporary slowdowns, increased CPU or memory usage, reduced network throughput, or conflicts with other installed software. ZenAxiom disclaims any liability for performance degradation or disruptions experienced during the use of the Software.

BY CLICKING “I ACCEPT” OR INSTALLING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
